Key takeaways
- Lebanon has no statute dedicated to NDAs; they are enforced as ordinary contracts under the Code of Obligations and Contracts, and Article 221 is what makes one binding.
- An NDA is valid even if it is not written, notarized or registered, but under Article 363 an agreement that is unsigned, or drawn up in too few originals, drops from full proof to a “beginning of proof”.
- Before claiming damages or enforcing a penalty clause, you must first put the other party in default through a formal written notice under Article 253.
- A penalty clause under Article 266 fixes your damages in advance, but a judge may reduce it and has no express power to increase it.
Is an NDA legally binding in Lebanon?
Yes. Lebanon has no statute written specifically for non-disclosure agreements, which leads some people to assume an NDA has no teeth here. It is treated as an ordinary contract under the Code of Obligations and Contracts, and once validly formed it carries full legal force.
The starting point is freedom of contract: under Article 166, parties may arrange their legal relationships as they see fit, provided they respect public order, public morality and mandatory legal provisions. Keeping information confidential is lawful, so an NDA clears that threshold easily. What makes it enforceable is Article 221 — contracts legally formed are binding on the parties, and must be interpreted and performed in accordance with good faith, equity and usage.
What makes an NDA valid under Lebanese law?
Four elements must be present. If one is missing, the agreement is exposed.
- Consent. Article 172 distinguishes a consensual contract, freely bargained over, from a contract of adhesion, where one party accepts a pre-drafted text it had no ability to discuss. Both are valid, so a take-it-or-leave-it NDA is still a contract.
- Capacity. Both parties must be legally capable of contracting: adults of sound mind, or duly authorised representatives of a company.
- Object. Under Article 186 the object of a contract is the creation of obligations, and Article 191 voids a contract where the obligation is absolutely impossible. This is why a vague definition of “confidential information” is a real risk rather than a drafting preference: the obligation has to be determinable for a court to enforce it.
- Cause. Under Article 195 the cause is the motive directly driving the obligation. In a mutual NDA, each side’s confidentiality duty is the cause of the other’s; in a one-way NDA it is usually the disclosure itself.
Where one fails, Article 233 applies: annulment always rests on a defect existing when the contract was formed — mistake, fraud, duress, undue advantage or incapacity — and only a court can pronounce it.
Does my NDA need to be written, notarized or registered?
No, on all three counts. An NDA is a consensual contract, and unlike company incorporation or a real estate sale, no special form is imposed on it.
The reason to put it in writing is proof, not validity. Article 363 governs the probative force of a written instrument: it has full probative force only where it is signed by all parties and, for reciprocal contracts, drawn up in as many originals as there are parties with opposing interests.
For a two-party NDA that means two originals, one per side, unless you agree to deposit a single original with a third party. Miss those formalities and the NDA is not void — it is demoted to a “beginning of proof” that must be completed by witness testimony or presumptions.
An NDA agreed electronically can qualify. Under Article 4 of the Electronic Transactions and Personal Data Law No. 81/2018, electronic writing is equivalent to traditional writing, provided the person can be identified and the document preserved in a way that ensures its authenticity.
There is no mandatory language for commercial contracts, and Lebanese courts routinely handle NDAs in French and English. Employment contracts are the exception: Article 12 of the Labor Law requires Arabic, with translation permitted where a party is foreign or does not understand Arabic. If you want an NDA notarized for added evidentiary weight, you can find a notary through askLex.
What clauses should an NDA include?
At a minimum, eight:
- Parties, correctly identified, with the signatory’s authority to bind the company clear
- Definition of confidential information
- Obligations of the receiving party — non-disclosure, representations, security measures
- Exclusions — information already public, independently developed, or lawfully received from a third party
- Term and duration, including after the relationship ends
- Return or destruction of confidential information
- Remedies in case of breach, including a penalty clause
- Governing law and jurisdiction
Two carry disproportionate weight: a loose definition of confidential information and a missing remedies clause are what turn an enforceable NDA into an expensive argument.
What happens if someone breaches my NDA?
One procedural step gates everything else. Under Article 253, damages require three conditions: a damage has occurred, it is attributable to the debtor, and — except in exceptional circumstances — the debtor has been put in default. That default is the mise en demeure, a formal written notice.
The Court of Cassation has confirmed this survives even where the contract contains a penalty clause: the penalty cannot be claimed independently of prior notice unless the parties expressly agreed otherwise, or a case in Article 258 applies (Cassation, Decision 41.2002, 3 December 2002; Cassation, Decision 89.2006, 6 July 2006).
Compensatory damages. Without a pre-agreed penalty you fall back on general civil liability, where damages must correspond to the loss suffered and the gain missed. Quantifying the commercial harm of a leak is hard, which makes this the slower route.
A penalty clause. Article 266 lets the parties fix the damages in advance for total or partial non-performance. That figure is the clause pénale, and it is the single most useful drafting decision in an NDA, because it removes the need to prove the extent of your loss. It stays valid even where it operates as a limitation of liability, unless the debtor is guilty of fraud: an intentional breach cannot shelter behind a cap. Article 266 also lets a judge reduce the figure, where a coercive penalty appears excessive or the obligation has been partly performed, but gives no express power to increase it. The agreed number is therefore a ceiling — set it too low and you cap your own recovery, set it implausibly high and you invite reduction.
A coercive daily penalty. Where the breach is ongoing and you need it to stop rather than to be compensated, Article 251 allows a court to condemn the debtor to a penalty for each day, week or month of delay, or for each breach, to overcome their inertia. This astreinte applies to obligations requiring the debtor’s personal intervention — exactly the shape of a duty not to disclose.
Do employees owe confidentiality without an NDA?
Probably, but on a weaker footing than most employers assume. Lebanese law contains no statute codifying a general implied duty of employee confidentiality.
What exists is a duty of loyalty flowing from the relationship itself: Article 624 defines an employment contract as one where a person places their work at the service and under the direction of another, and courts treat that subordination as the foundation for implied duties of loyalty.
The gap between “probably implied” and “expressly agreed” is where cases are lost — an express clause gives a standalone contractual claim with defined remedies, while an implied duty gives you only an argument. Our guide to employment contracts in Lebanon covers the surrounding terms.
The distinction between an employee and an independent contractor can also affect the obligations arising from their relationship. Our guide to freelancers and employees in Lebanon explains how Lebanese law distinguishes between the two.
Non-compete clauses are permitted but not automatically enforceable, and Article 11 of the Labor Law of 1946 sets a hard ceiling: no person shall undertake for life to refrain from working in any profession, and any contract leading directly or indirectly to that result is null and void by operation of law. Beyond that, Lebanese law fixes no maximum duration or radius, and courts assess whether the restriction’s length, territory and scope of activity are reasonable.
What should I do if someone has breached my NDA?
- Send a formal written notice first. Under Article 253 this is a precondition to damages, and a penalty clause does not waive it. Demand that the breach stop and reserve your rights.
- Preserve the evidence of the disclosure. What was disclosed, to whom, when and by what channel.
- Document the harm. Lost contracts, lost clients, a competitor’s launch that tracks your material. This is the work you avoid if the NDA has a penalty clause, and cannot avoid if it does not.
- Check which originals you hold. Under Article 363 this decides whether you hand the court full proof or a beginning of proof. Establish it before you file.
- If the disclosure is ongoing, ask the court for a coercive penalty. Article 251 exists to force a party to stop, not to compensate you after the fact.
